Clinical Pipe, Source Upload, EDC+ End User Code of Conduct

For the purposes of this End User Code of Conduct, an “End User” is a person who has been authorized to utilize Clinical Pipe, Source Upload, or EDC+ (collectively, “Online Paid Systems” or “OPS”) for the purpose of engaging in activities related to clinical research. In addition to any other restrictions and obligations set forth by the entity that has authorized the End User’s access to the OPS, each End User agrees to the following:

 

  • to treat any information or data contained in the OPS as confidential information and to treat any data processed by an OPS as highly sensitive data that is subject to one or more legal restrictions on its use and disclosure;

  • to not reverse engineer, decompile, disassemble, copy, sell, distribute, lease, sub-license, transfer, alter, or modify the OPS or any part or portion thereof;

  • to not mirror, or otherwise replicate, the OPS on a computer;

  • to not create derivative works based on the OPS or any related software;

  • to follow all applicable laws in using the OPS;

  • to not use or access the OPS for any unlawful purposes or activity;

  • to not use the OPS to impersonate another person or to disguise the origin of any information that you input or otherwise associate with the OPS;

  • to not upload to, input, or otherwise associate with the OPS any material that includes a virus, worm, Trojan horse, or any code, file, or program that interrupts, destroys, or limits the functionality of the OPS or that may impact the ability of any user to access the OPS;

  • to not provide access to the OPS or its interfaces to any third-party entity that (a) is not authorized to access the OPS or (b) can reasonably be considered to be a competitor to Flatiron for similar software services as the OPS;

  • to not engage in any action that directly or indirectly interferes with the proper working of or places an unreasonable load on the OPS or the infrastructure thereof; and

  • to not do anything that could reasonably be expected to bypass or circumvent measures employed to limit and/or prevent access to a portion of the OPS or any information thereon.

As between Flatiron and the entity that has contracted with Flatiron for the use of the OPS (the “Company”), the Company is solely responsible for ensuring its End Users receive, understand, and agree to comply with this End User Code of Conduct.
